1. Agreement to Terms

By accessing or using SongSplit ("the Service"), operated by Echo VQ Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 13 years old to use SongSplit. By using the Service, you represent that you meet this requirement.

3. What SongSplit Does

SongSplit is an audio processing tool that separates uploaded audio files into individual stems (vocals, drums, bass, and other instruments) using AI-powered source separation technology. The Service also provides optional features such as lyrics transcription, pitch detection, key detection, and lead sheet generation.

4. Your Responsibilities

You must have the legal right to upload any audio file you submit to SongSplit. You are solely responsible for the content you upload and how you use the processed output.

By uploading audio, you represent and warrant that:

• You own the audio, or have obtained all necessary rights, licences, and permissions to upload and process it.
• Your use of the Service does not violate any applicable law or regulation.
• Your use of the processed output complies with any applicable copyright licences or agreements.

5. Prohibited Uses

You agree not to:

• Upload content you do not have the legal right to process.
• Circumvent or attempt to circumvent any digital rights management (DRM) protections.
• Use automated tools or scripts to systematically scrape, download, or extract content from the Service.
• Use the Service to infringe on the intellectual property rights of others.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to access other users' data or sessions.

6. Content Policy & Removal

We reserve the right to remove any content from the Service at our sole discretion, including content that we believe infringes on third-party rights or violates these Terms.

We comply with valid copyright takedown requests. For details on how to submit a takedown notice, see our Copyright & DMCA Policy.

7. Intellectual Property

SongSplit does not claim any ownership of audio files you upload. The processed stems and derivative outputs are subject to the same copyright as the original audio — separating a copyrighted song into stems does not change who owns the copyright.

The SongSplit service, including its design, code, and branding, is the intellectual property of Echo VQ Pty Ltd.

8. Sharing & Public Links

When you process a track on SongSplit, a shareable link is generated. Anyone with this link can access the player page and listen to the separated stems. You are responsible for how you distribute share links.

Share links are not indexed by search engines but are publicly accessible to anyone who has the URL.

9. Data Retention & Expiry

All uploaded and processed audio files are automatically and permanently deleted after a retention period:

• Anonymous users: 7 days after upload.
• Free accounts: 60 days after upload.
• Plus/Student accounts: 1 year after upload.
• Teacher accounts: Permanent storage.

Once files expire, they cannot be recovered. Share links for expired tracks will display an expiry notice.

10. Service Availability & Warranty Disclaimer

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service at any time without notice.

AI-powered audio separation is imperfect. We do not guarantee the quality, accuracy, or completeness of separated stems, transcriptions, or any other processed output.

11. Limitation of Liability

To the maximum extent permitted by law, Echo VQ Pty Ltd's total liability to you for any claims arising from your use of the Service is limited to the greater of AUD $50 or the amount you have paid us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits.

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Echo VQ Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your uploaded content, or your violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

14. Changes to Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
